Full Job Description

Job Title: In-House Counsel (Remote or Hybrid USA Only)

Reports to: VP, Operations

Department: Operations

Job Overview

iFoodDS seeks an in-house attorney to support the company’s day-to-day business operations (note: iFoodDS Board and fundraising activities are currently handled by outside counsel).

Responsibilities and Duties

Contract-Related Matters:

Work closely with the Sales and Operations teams to draft, review, and negotiate SaaS agreements and consulting services agreements with respect to iFoodDS customers and prospective customers.
Work closely with the Operations and Finance teams to draft, review, and negotiate various vendor contracts, including complex technology services-related contracts.
Help lead the development, implementation, and maintenance of a data integration partner program for the facilitation of data exchanges between iFoodDS systems and various third-party systems.
Help lead the refinement and improvement of iFoodDS’ online supplier (i.e., suppliers of food products to iFoodDS customers) enrollment and eContracting portal.
Ensure contractual terms align with industry standards, legal requirements, and iFoodDS internal policies.

Data Governance:

Maintain and improve iFoodDS internal policies and procedures regarding customer data governance and iFoodDS ancillary uses of customer data such as benchmarking, predictive analytics, artificial intelligence (AI), and other similar features/functionality. Lead this initiative by working collaboratively with Product, Engineering, and other relevant functions. Note: consumer data privacy laws (such as the CPRA) are not currently implicated in iFoodDS’ SaaS offerings.

Intellectual Property Protection:

Provide legal guidance on intellectual property matters, including trademarks, copyrights, and patents, working with outside counsel as necessary/appropriate.
Work collaboratively with Product and Engineering teams to identify and protect proprietary technology.

Human Resources Support:

Provide legal guidance to Human Resources function regarding employment and benefits-related matters (note: outside counsel will be available to assist as necessary/appropriate).

Company Policies and Procedures:

Work with Human Resources, Operations, and relevant other functions to develop, improve, manage and enforce various company policies and procedures.
Work with Engineering, Operations, and other relevant functions regarding SOC-2 compliance matters.

Insurance:

Assume primary responsibility for managing iFoodDS’ insurance program.

Mergers & Acquisition Support:

Work with outside counsel and relevant internal functions on M&A transactions as needed.

Contract Lifecycle Management:

Work with Operations, Finance, and other relevant functions to maintain and improve a streamlined contract lifecycle management process.
Collaborate with cross-functional teams to improve efficiency in contract creation, negotiation, and execution.

Emerging Legal Issues and Outside Counsel Coordination:

Stay up to date on emerging legal issues in the SaaS and tech industry
Proactively advise on legal changes that may impact the business
Work closely with external legal counsel as necessary/appropriate on legal matters impacting the company

Qualifications

At least 6 years of experience as a practicing attorney (more experience is better). Initial training at a large law firm (ideally as a corporate transactional or contracts attorney) and prior in-house counsel experience is a plus.
Substantial experience drafting, reviewing, and negotiating a wide range of complex customer and vendor contracts (particularly SaaS contracts and other technology-based contracts).
Strong knowledge of the legal issues associated with a SaaS business model.
Prior experience with the legal aspects of data governance (but note personal data is not currently implicated, so consumer data privacy law expertise is not necessary).
Prior experience with employment and benefits-related matters (at least sufficient to “issue spot” and work with outside counsel) is desirable.
Prior experience in the food supply chain industry is a plus but not required.

Team player who collaborates well with others

U.S. law degree required.

Travel

Periodic travel as business requires.

Compensation - Salary

The salary for this position typically ranges from $175,000 to $250,000. This range is intended to reflect prevailing salaries in different geographic locations across the United States as well as the candidate’s job-related knowledge, skills, and experience.
