Position Overview:
We are seeking a highly motivated and entrepreneurial Corporate Tax Legal Counsel to join our team. The ideal candidate will manage business transactions and state and local tax compliance, including M&A transactions, drafting legal documents, advising on governance and tax issues, and overseeing tax returns and audits. Collaboration with other professionals is essential.
Duties:
Business Transactions:
- Manage and execute all aspects of M&A transactions, including due diligence, structuring, negotiating, and closing deals.
- Draft, review, and negotiate a wide range of legal documents, including purchase agreements, merger agreements, shareholder agreements, bylaws, operating/partnership agreements, and other related contracts.
- Provide legal advice and support on corporate governance, compliance, and other general business matters.
- Prepare legal opinion letters, memoranda, and other documentation to support business transactions.
- Advise clients on state and local tax implications of various business transactions.
- Complete Entity Formations and ongoing Business Owner Compliance for corporate clients.
State and Local Taxation:
- Oversee the preparation of state and local tax returns, including franchise, sales and use, business property, property, city, and excise taxes.
- Assist clients with resolving tax notices and discrepancies with state and local tax authorities.
- Provide guidance and support during state and local tax audits, including gathering and preparing necessary documentation.
- Collaborate with other attorneys, accountants, and professionals within the firm to provide integrated tax solutions.
- Conduct thorough research and stay current with changes in state and local tax laws and regulations.
- Assist with training and development of paralegal staff.
Qualifications:
- Direct experience as an associate working on M&A transactions.
- Ability to skillfully manage and prioritize multiple internal and external client demands, transactions, and projects.
- Exemplary analytical, creative, problem-solving, decision-making, interpersonal, verbal and written skills.
- 2+ years of experience reviewing and drafting contracts.
- JD from an accredited law school.
- LL.M. Taxation or CPA License
- State Bar license in one of the following states: Arizona, California, Nevada, Texas, Utah or Virginia.
- Willingness to be in-office 5 days per week.
