POSITION SUMMARY:
The Director of SEC Reporting and Technical Accounting will lead the preparation of the Company's Securities and Exchange Commission (SEC) filings, primarily Form 10-Q and Form 10-K and support the investor relations (IR) strategy through the preparation of quarterly and annual earnings materials and supplemental analysis.
In addition, in order to prepare the Company for full adoption of Sarbanes Oxley section 404, establish company-wide review controls, prepare internal controls documentation, and document a global accounting policy manual; develop and maintain compliance programs for the Company's debt agreements; and research, document, and maintain ongoing accounting compliance with technical matters and other areas.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
The essential duties and responsibilities of this position include, but are not limited to, the following:
Financial Reporting and Investor Relations:
- Prepare and review of the Company's SEC filings including Forms 10-K and 10-Q, Proxy Statement, other Securities Act filings and press releases, as well as review of XBRL compliance, including the following:
- Review all disclosures, checklists, and underlying schedules for accuracy.
- Draft disclosures regarding new and unique matters, and ongoing disclosures necessary in MD&A of financial results of quarterly and annual filings.
- Prepare and review of earnings release support materials and press release financial information.
- Research SEC disclosure requirements and other filers for best practices.
- Partner with key stakeholders in the earnings process and provide a high focus on attention to detail in processing comments from disclosure committee members and external auditors.
- Support the company in the development of a broadened IR strategy, including accelerating the preparation of earnings materials and supporting analysis.
- Develop of additional routine quarterly analysis to support our IR strategy and to prepare the executive group, including the CFO and CEO, in external communications.
- Liaison with the Company's Tax Director to provide critical financial information to complete income tax provisions, compliance filings, or transfer pricing studies.
- Significant involvement in the external audit and quarterly review process, including leading discussions with our external auditor regarding the impact of significant and unique transactions.
Debt Compliance:
- Develop and maintain compliance programs for the Company's new debt agreements. This entails a detailed review of the Company's debt agreements, creating monitoring checklists, and establishing communication protocols across multiple functional areas of the Company including significant involvement with internal and external legal counsel.
- Coordinate and complete monthly and quarterly covenant calculations and borrowing base submissions in accordance with the Company's debt agreements.
- Ownership of new corporate accounting and reconciliation processes necessary in accordance with the Company's bank relationships and new directives led by our Treasury department.
Sarbanes Oxley Internal Controls Enhancements and Overall Compliance:
- Establish and execute certain key control activities and processes that involve the company wide accounting and compliance function. This may include the establishment of contract review controls and corporate review of key areas of judgment and estimates.
- In all cases, new control processes and review procedures will include establishing proper documentation that provides adequate evidence to support a Sarbanes Oxley external auditor opinion.
- Lead the preparation of a company-wide accounting policy manual which will document all critical areas of estimation and judgment. Execute this process in an efficient manner and by prioritizing higher risk areas.
- Review key schedules and working papers prepared by the Manager of Financial Reporting and Manager of Corporate Accounting and ensure documentation and review process provides adequate evidence to support a Sarbanes Oxley external auditor opinion.
SKILLS AND QUALIFICATIONS:
- Bachelor's degree in accounting, finance, or related field
- 12 years' experience in accounting / reporting and 2 years in a director level position is required.
- CPA required.
- Minimum 5 years in public accounting required.
Significant experience with Sarbanes-Oxley Sect. 404 internal controls compliance
- Experience leading teams in a corporate environment.
- Strong experience in financial reporting, US GAAP, and SEC rules and regulations governing financial statements and disclosures for public entities.
- Excellent written communication skills for writing public company disclosures and documenting company positions.
- Provide significant ad-hoc analysis and respond to requests in a timely manner.
- Ability to work in a high intensity, fast-paced environment.
- Strong leadership presence that creates a high sense of accountability and integrity throughout the organization and promotes a positive and supportive work environment.
- Strong communicator with ability to succinctly articulate business and accounting issues to finance and non-finance audiences alike.
