POSITION SUMMARY:
This position will assist the General Counsel, the company’s sole attorney, in all aspects of the legal function, including drafting and reviewing contracts, due diligence in connection with corporate transactions, and with the preparing documents and filings as necessary to comply with federal, state, and local regulations in the conduct of business activities.
MAJOR JOB RESPONSIBILITIES:
- Maintain, organize, and support the Company’s legal databases, which include contract, litigation, and governance database
- Maintain and organize legal, corporate, and other various records
- In coordination with other department, manage and prepare applications and renewals of the Company’s business licenses in numerous jurisdictions; work with operations to ensure awareness of contract and permitting obligations
- Coordinate with non-legally trained, internal stakeholders
- Support various corporate secretarial functions, including assisting with drafting minutes, resolutions and written consents, and maintaining corporate minute books and other corporate records
- Assist with due diligence, virtual data rooms, and post-closing administration and integration as well as other corporate matters in connection with mergers and acquisition activity
- Respond to requests for information and documents from internal and external auditors, regulators, internal business partners, and other stakeholders
- Assist with development of trainings and presentations on legal matters
- Provide support for all Company contracts including customer contracts, subcontracts, equipment leases, real property leases, and confidentiality agreements among others
- Assist with the maintenance and administration of corporate policies and programs
- Assist with administration of corporate governance policies
- Drafting routine correspondence
- Strong typing and ability to accurately transpose dictation
- Broad legal experience (i.e. employment, labor, environmental, IP, land use, real estate, collections, etc.) and willingness to learn new areas of the law
- Comfortable leading projects as assigned
- Strong legal research skills
- Assist General Counsel manage company’s legal risks and obligations in a fast-paced environment
- Other duties as assigned

QUALIFICATIONS AND MINIMUM REQUIREMENTS:
To perform this job successfully, an individual must be able to perform each essential duty mentioned satisfactorily. The individual must also be able to adapt and move quickly to address pressing business and legal needs. The requirements listed below are representative of the knowledge, skills, and/or ability required.
Education:
- Paralegal Certificate or Bachelor’s degree (B.A.) in a relevant field from a four-year college or university
Experience:
- Five or more years related experience in a legal environment, including three years of corporate paralegal experience; prior in-house role ideal; some litigation and/or bankruptcy experience is desirable
- Pennsylvania notary license or willingness to become licensed

- Must be able to sit for extended periods of time.
- May be required to bend, reach and lift to 25 lbs.
