This position provides strategy, management oversight, coaching, and budget control to (1) the interpretation and enforcement of AAA, Inc., and Association governance policies, including brand protection, elections, and club consolidation; (2) in the capacity of Assistant Corporate Secretary, develop agendas and supporting materials for AAA Board of Directors and board committee meetings including the issuance of notices, chair facilitation tools, taking and writing minutes, communicating meeting decisions, and archiving minutes for record and retrieval; (3) the Association’s Accreditation function responsible for quality assurance amongst member clubs; (4) AAA Inc.'s Insurance & Risk Management function, including the management of AAA, Inc.’s executive risk insurance program and business continuity planning operations; (5) Commercial and accident insurance programs for clubs; and (6) AAA, Inc. records and information management policy, and the data inventory and mapping function.
Duties & Responsibilities:
- Plans, directs, and provides quality control to the Accreditation process and directly interacts with the Accreditation Commission, Club CEOs, CAA National Office, and AAA, Inc. management.
- As Assistant Corporate Secretary, establishes an annual governance calendar. Coordinates all meetings of the Board of Directors and most of its committees, attends all meetings of the Board of Directors and most of its committees, and records, publishes, and distributes minutes of proceedings. Prepares corporate meeting notices, agendas and supporting documentation.
- Manages research related to prior corporate decisions. Prepares and reviews meeting facilitation plans aligning expectations of the meeting chair and CEO. For Annual and Special Meetings, determines and validates Delegate vote apportionment and issues and processes proxies. Serves as relationship liaison with CAA. Supports production of the AAA Annual Meeting.
- Plans and directs the risk management and corporate insurance program including coordination/documentation of the AAA, Inc. business continuity plan. Negotiates national insurance programs on behalf of clubs and their members that provides travel accident, AD&D, and other specialty insurance products. Is a member of the AAA, Inc. Emergency Response Team and Disaster Recovery and Business Continuity Planning Teams with responsibility for communications with the AAA Board and all clubs.
- Directs the writing, publication and distribution of governance references and policies for AAA, Inc. and clubs and ensures compliance.
- Conducts customized research and analysis for AAA, Inc. leadership and the Board of Directors on numerous topics including Board effectiveness and diversity, governance practices and policies, club board composition and director compensation practices, and interclub agreements.
- Reviews and coordinates club requests for consolidation, and prepares written analysis and recommendations to accompany consideration of the requests by the Board of Directors and applicable board committees.
- Coordinates the Association’s use of iPad technology and the Boardvantage application including negotiation of the national license agreement and the annual club and AAA, Inc. user license approval and access to ensure confidentiality.
- Manages AAA, Inc. records and information management policy and oversees AAA, Inc.’s data inventory and mapping function, addressing legal, IT security, and business intelligence needs.
- Develops, implements and oversees department’s strategic direction, operational objectives and supporting budget. Manages the short- and long-range financial objectives of the department/business line, to deliver the expected results.
- Performs other duties as assigned.

Minimum Education & Experience:
- Bachelor’s degree and ten (10) years’ experience in a management role. MBA, CPA or JD strongly preferred.
- Demonstrated negotiation and conflict resolution skills.
- Club operations experience or a broad knowledge of club financial management, management of member services operations, and knowledge in market research or statistical analysis.
Hiring Range:
- $ 162,000 - $185,000
- This position is eligible for participation in the AAA, Inc. Annual Incentive Plan.
